Freelance Web Development & Partnership Agreement

Effective Date: June 26, 2026

This Freelance Web Development & Partnership Agreement (the "Agreement") is entered into by and between the Freelance Web Developer ("Developer") and the purchasing entity or individual ("Client") initiating services via the Developer's web portal. By selecting a service package, making an initial deployment payment, or clicking "Get Started," the Client explicitly agrees to be legally bound by all terms, conditions, and provisions outlined below.

01 // Definitions & Coverage

"Project" refers to the custom engineering, styling, deployment, and configuration of the web infrastructure selected by the Client.

"Static Layout" refers to light, modern frontend code optimized for delivery over Content Delivery Networks (CDNs), operating with zero ongoing server overhead.

"Dynamic Architecture" refers to complex, custom-engineered web frameworks utilizing third-party application programming interfaces (APIs), databases, continuous cloud logic, or transactional operations.

"Scope Creep" defines any request, feature expansion, layout alteration, asset addition, or operational loop requested by the Client that falls outside the explicit parameters of the selected service block.

02 // Project Parameters & Service Blocks

The Client agrees to bind the Project to one of the following explicit operational frameworks:

A. Package 01: Social & Creator Tier
Scope: Deployment of a specialized 1-page custom structural layout engineered as an optimized, permanent link-in-bio hub.
Financial Structure: Flat, one-time payment of $299.00 USD due prior to project initialization.
Maintenance Boundary: Deployed onto permanent free static cloud hosting, yielding $0.00/month in mandatory hosting infrastructure fees.
Modifications: All post-handoff maintenance operates strictly under a "Pay-As-You-Go" framework billed at a fixed rate of $10.00 USD per discrete text or hyperlink change.

B. Package 02: Local Business Tier
Scope: Complete custom frontend development consisting of a 3-to-5 page high-speed, mobile-responsive grid layout, equipped with an advanced local Search Engine Optimization (SEO) baseline configuration.
Financial Structure: Upfront setup payment of $649.00 USD, supplemented by an optional recurring $15.00 USD/month maintenance contract.
Operational Inclusions: Entitles the Client to a dedicated "Text-Me-Updates" helpline, covering up to one (1) collective hour of monthly content adjustments. Unused operational hours do not roll over to subsequent billing periods.

C. Package 03: Custom Architecture Tier
Scope: Bespoke technical engineering comprising structural parameters including, but not limited to, full-scale e-commerce modules, secure payment gateways, dynamic data routing, custom content management systems (CMS), and complex cloud database configurations.
Financial Structure: Governed by an independent, itemized project scope document and structured quote tailored to architectural complexity.

03 // Client Responsibilities & Data Asset Provision

Asset Turnaround: The Client must deliver all branding materials, high-resolution imagery, direct text copy, functional tracking links, and operational assets within fourteen (14) calendar days of project initiation.

Operational Stall: Failure to provide required assets within the 14-day window will result in an immediate automatic project freeze. The Developer reserves the right to reallocate development schedules, and a formal restart fee may be assessed to reactivate the project timeline.

Intellectual Property Indemnification: The Client guarantees that all assets, graphics, fonts, copy, and trademarks provided to the Developer are legally owned by the Client or properly licensed. The Client shall defend, indemnify, and hold the Developer entirely harmless from any legal actions, claims, or damages stemming from copyright or trademark infringement related to client-supplied materials.

04 // Intellectual Property & Ownership Rights

Reservation of Rights: The Developer retains complete, exclusive ownership, control, and intellectual property rights over all raw source code, custom layout scripts, visual elements, CSS structures, and configurations generated during the project until the Client's financial balance is cleared.

Transfer of Ownership: Upon successful clearance of the final invoice payment, or for the sustained active duration of a subscription payment plan, the Client is granted a non-exclusive, perpetual license to utilize the compiled frontend asset files for their intended business purpose.

Portfolio Showcase License: Regardless of final file ownership transfers, the Developer retains an unrestricted, worldwide, royalty-free license to display, reference, screenshot, and link to the completed web project across online portfolios, social channels, and professional case studies to showcase development expertise.

05 // Payment Termination & Service Suspension

Subscription Delinquency: For all active payment plans, financing structures, or ongoing $15.00/month maintenance models, payments are auto-processed securely on a recurring monthly cycle.

Grace Period: If a recurring payment fails or an invoice remains unpaid past its designated due date, the Developer will issue a formal notice of delinquency, initiating a strict seven (7) day structural grace period.

Service Disconnection: If the financial balance remains unpaid at the expiration of the 7-day grace period, the Developer reserves the right to immediately take down the live website, un-publish files from the Cloudflare Content Delivery Network, sever API integrations, or restrict database access. The Developer is not liable for any lost business revenue, traffic reduction, or data degradation caused by a non-payment service suspension.

06 // Limitation of Liability & System Infrastructure

Third-Party Infrastructure Disclaimer: The Developer deploys client web properties leveraging high-performance, enterprise-grade cloud ecosystems, specifically Cloudflare Pages, Cloudflare Workers, and standardized serverless microservices. The Client acknowledges that the Developer does not own, manage, or maintain the physical global hardware arrays powering these systems.

Outage Indemnity: The Developer cannot be held legally liable or financially responsible for rare global or regional network disruptions, hardware failures, Cloudflare system downtime, third-party database outages, or processing issues stemming from external payment gateways (such as Stripe).

Scope Limit: The Developer provides no legal guarantees regarding explicit search engine ranking positions, traffic conversion spikes, or continuous financial performance metrics following project deployment.

07 // Amendments & Governing Law

Modifications: The Developer reserves the right to alter, update, or shift these baseline operational terms to align with infrastructure evolutions. Clients under active maintenance contracts will receive digital notifications regarding structural adjustments.

Jurisdiction: This Agreement shall be governed, interpreted, and enforced in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any legal actions or proceedings arising under this Agreement shall be brought exclusively in the courts located within the Developer's immediate operational jurisdiction.
