Freelance Web Development & Partnership Agreement

01 // Definitions & Coverage

"Project" refers to the custom engineering, styling, deployment, and configuration of the web infrastructure selected by the Client.

"Static Layout" refers to light, modern frontend code optimized for delivery over Content Delivery Networks (CDNs), operating with zero ongoing server overhead.

"Dynamic Architecture" refers to complex, custom-engineered web frameworks utilizing third-party application programming interfaces (APIs), databases, continuous cloud logic, or transactional operations.

"Scope Creep" defines any request, feature expansion, layout alteration, asset addition, or operational loop requested by the Client that falls outside the explicit parameters of the selected service block.

"Complete Assets" refers to the full set of Client-supplied materials required to begin production, as itemized in Section 03. Materials the Developer has agreed to produce, source, or license under the selected package, including branding and logo design and licensed placeholder imagery, are not Client-supplied materials and are excluded from this definition.

02 // Project Parameters & Service Blocks

The Client agrees to bind the Project to one of the following explicit operational frameworks:

A. Package 01: Social & Creator Tier
Scope: Deployment of a specialized 1-page custom structural layout engineered as an optimized, permanent link-in-bio hub.
Financial Structure: Flat, one-time payment of $299.00 USD due prior to project initialization.
Maintenance Boundary: Deployed onto permanent free static cloud hosting, yielding $0.00/month in mandatory hosting infrastructure fees.

B. Package 02: Local Business Tier
Scope: Complete custom frontend development consisting of up to six (6) core pages in a high-speed, mobile-responsive grid layout, together with any templated service, treatment, or service-area pages agreed in the written project scope, equipped with an advanced local Search Engine Optimization (SEO) baseline configuration.
Financial Structure: Total project fee of $649.00 USD. A non-refundable booking deposit of $149.00 USD is due to reserve a place in the production schedule and begin work. The remaining $500.00 USD is billed in two milestone payments: $350.00 USD upon approval of the design, and $150.00 USD before the site is published to its live domain. An optional recurring $15.00 USD/month maintenance contract is available.
Operational Inclusions: Entitles the Client to a dedicated "Text-Me-Updates" helpline, covering up to one (1) collective hour of monthly content adjustments. Unused operational hours do not roll over to subsequent billing periods.

C. Package 03: Custom Architecture Tier
Scope: Bespoke technical engineering comprising structural parameters including, but not limited to, full-scale e-commerce modules, secure payment gateways, dynamic data routing, custom content management systems (CMS), and complex cloud database configurations.
Financial Structure: Governed by an independent, itemized project scope document and structured quote tailored to architectural complexity.

Provisions Applicable to All Packages
The following apply to every package above, regardless of tier.

Deposits: All deposits are non-refundable. A deposit reserves the Client's place in the production schedule and covers initial design and setup work already performed.

Modifications: All post-launch work operates under a "Pay-As-You-Go" framework, applicable once the website has been delivered and is live, and once any monthly content allowance included with the Client's package has been used. A single small change (one text edit or one hyperlink substitution) is billed at $9.99 USD. A batch of changes requested together is billed at $20.00 USD. Additional templated service, treatment, or service-area pages are billed at a per-page rate quoted to the Client in writing before the work begins. Payment is made through a payment link before the work is performed.

Change Orders: Any request meeting the definition of Scope Creep in Section 01, including new layouts, new functionality, additional features, or any work falling outside the Scope of the selected package, is covered by neither the project fee nor the Pay-As-You-Go rates above. Such work is quoted separately and must be approved in writing and paid for before it is performed.

03 // Client Responsibilities & Data Asset Provision

Asset Schedule: Complete Assets comprise the following, to the extent each applies to the selected package and is not being produced by the Developer under that package:

• Branding materials: logo files in vector or high-resolution format, and any existing brand colors or typefaces;
• High-resolution imagery the Client intends to use, with the right to use it;
• Final text copy for each page in the agreed scope;
• The Client's service or product list, including names, descriptions, prices, and durations;
• For location-based or service-area work, the list of towns, regions, or areas to be covered;
• Functional links and credentials for any third-party platform to be embedded or integrated, including booking, scheduling, or payment systems;
• Tracking links and access to any analytics or advertising accounts to be configured;
• Business contact details as they are to appear publicly.

Asset Turnaround: The Client must deliver Complete Assets within fourteen (14) calendar days of project initiation.

Commencement of Production: The Developer's quoted turnaround time begins on the date Complete Assets are received, not on the date of deposit or project initiation. Where an item above is being produced, sourced, or licensed by the Developer under the selected package, that item does not delay commencement, and time spent by the Developer producing it is not counted against the Client's 14-day window.

Operational Stall: Failure to provide Complete Assets within the 14-day window will result in an immediate automatic project freeze. The Developer reserves the right to reallocate development schedules, and a restart fee of $150.00 USD applies to reactivate the project timeline. Only one restart fee is charged per freeze, and a freeze under this clause does not also trigger the reactivation fee in the Response Window below.

Response Window: The Client will respond to Developer requests for feedback, assets, or approvals within seven (7) business days. After ten (10) business days without response, the Project is paused and a $150.00 USD reactivation fee applies to resume it. After thirty (30) calendar days without response, the Project may be closed; sums already paid are not refunded, and completed work is invoiced.

Intellectual Property Indemnification: The Client guarantees that all assets, graphics, fonts, copy, and trademarks provided to the Developer are legally owned by the Client or properly licensed. The Client shall defend, indemnify, and hold the Developer entirely harmless from any legal actions, claims, or damages stemming from copyright or trademark infringement related to client-supplied materials.

04 // Intellectual Property & Ownership Rights

Reservation of Rights: The Developer retains all ownership and intellectual property rights in the source code, layout scripts, visual elements, stylesheets, and configurations produced for the Project until the Client's financial balance is cleared in full.

Transfer on Final Payment: Upon clearance of the final invoice, the Developer transfers the editable source files to the Client and grants a perpetual, worldwide, irrevocable license to use, host, modify, and continue operating the delivered website, with no recurring license fee. The Client owns outright all content, imagery, copy, data, customer records, and all third-party accounts created for the Project.

Services Are Separate: This grant conveys rights in the delivered files only. It does not entitle the Client to any future development, design, edits, or support from the Developer, all of which are billed separately under Section 02 or a written change order.

Launch & File Delivery: The website is published to its live domain, and the source files are transferred to the Client, only after every invoice for the Project is paid in full.

Portfolio Showcase License: Regardless of final file ownership transfers, the Developer retains an unrestricted, worldwide, royalty-free license to display, reference, screenshot, and link to the completed web project across online portfolios, social channels, and professional case studies to showcase development expertise.

05 // Payment Termination & Service Suspension

Subscription Delinquency: For all active payment plans, financing structures, or ongoing $15.00/month maintenance models, payments are auto-processed securely on a recurring monthly cycle.

Grace Period: If a recurring payment fails or an invoice remains unpaid past its designated due date, the Developer will issue a formal notice of delinquency. A seven (7) day grace period runs from the invoice due date, not from the date of that notice.

Late Fee: An invoice unpaid seven (7) days past its due date accrues a one-time $25.00 USD late fee, after which the suspension terms below apply.

Suspension Before Transfer: Where the Project balance has not yet been paid in full and ownership has therefore not transferred under Section 04, the Developer reserves the right, at the expiration of the grace period, to withhold publication, take down the live website, un-publish files from the Cloudflare Content Delivery Network, sever API integrations, or restrict database access. The Developer is not liable for lost business revenue, traffic reduction, or data degradation caused by a non-payment suspension under this clause.

Lapsed Maintenance After Transfer: Where the Project balance has been paid in full and ownership has transferred, an unpaid or cancelled maintenance subscription ends the Developer's obligation to provide monitoring, updates, backups, and included edits. It does not entitle the Developer to take down, disable, or restrict access to a website the Client owns, or to any account held in the Client's name.

Reinstatement: A suspension under this Section is lifted once the outstanding balance and any applicable late fee are paid in full. The Developer will restore service within two (2) business days of cleared payment.

06 // Limitation of Liability & System Infrastructure

Third-Party Infrastructure Disclaimer: The Developer deploys client web properties leveraging high-performance, enterprise-grade cloud ecosystems, specifically Cloudflare Workers and standardized serverless microservices. The Client acknowledges that the Developer does not own, manage, or maintain the physical global hardware arrays powering these systems.

Outage Indemnity: The Developer cannot be held legally liable or financially responsible for rare global or regional network disruptions, hardware failures, Cloudflare system downtime, third-party database outages, or processing issues stemming from external payment gateways (such as Stripe).

Scope Limit: The Developer provides no legal guarantees regarding explicit search engine ranking positions, traffic conversion spikes, or continuous financial performance metrics following project deployment.

Limitation of Liability: To the maximum extent permitted by law, the Developer's total aggregate liability arising out of or relating to this Agreement, whether in contract, tort, or otherwise, shall not exceed the total fees actually paid by the Client to the Developer for the Project giving rise to the claim. In no event shall the Developer be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost data, or loss of business opportunity, even if advised of the possibility of such damages.

Delivery Warranty: The Developer warrants that the delivered website will materially conform to the Scope of the selected package at the time of launch, and will correct any defect reported within thirty (30) days of launch at no charge. Beyond this, the website is provided "as is" and the Developer disclaims all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

Regulated and Professional Content: The Client is solely responsible for the accuracy, legality, and regulatory compliance of all content published on the website, including any medical, health, wellness, financial, or other professional claims, and for holding any license, certification, insurance, or supervising credential required to offer the services described. The Developer does not review content for regulatory compliance and provides no legal, medical, or financial advice. The Client shall defend, indemnify, and hold the Developer harmless from any claim, penalty, or proceeding arising from such content or from the Client's provision of the underlying services.

07 // Amendments & Governing Law

Amendments to These Terms: The Developer reserves the right to alter, update, or shift these baseline operational terms to align with infrastructure evolutions. Clients under active maintenance contracts will receive digital notifications regarding structural adjustments. Amendments are not retroactive: the terms in effect on the date the Client's deposit is received govern that Project through completion.

Jurisdiction: This Agreement shall be governed, interpreted, and enforced in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Essex County, Massachusetts, and both parties consent to the personal jurisdiction of those courts.
